Despite this reduction, the overall demand for the issue remains substantially higher than the supply of shares.<\/p>\n<p>Subscription for the NSE IPO will open on 17\u202fSeptember and close on 21\u202fSeptember. The price band has been set between \u20b91,700 and \u20b91,785 per share. The offering is structured entirely as an offer\u2011for\u2011sale (OFS), with up to 12.64\u202fcrore shares being sold by existing shareholders; no fresh equity is being issued by the exchange.<\/p>\n<p>Chauhan explained that several existing shareholders were initially hesitant to part with their holdings at the proposed valuation, prompting the exchange to lower the percentage of shares offered from an earlier 6.2\u202fpercent to 5.11\u202fpercent. To satisfy the regulatory requirements for a public listing, NSE had to ask some shareholders to participate in the OFS.<\/p>\n<p>The public listing is expected to give current shareholders a more transparent and liquid channel for selling their stakes. At present, NSE shares trade in a private\u2011market environment where transaction costs are higher and counterparties can be harder to locate.<\/p>\n<p>According to the company\u2019s IPO note, the shares will be listed on the Bombay Stock Exchange (BSE) once the offering closes.<\/p>\n<h2>Allocation and pricing considerations<\/h2>\n<p>Allocation will be made across a range of institutional categories, including domestic mutual funds, other domestic institutions and foreign portfolio investors, following the applicable framework. The exchange\u2019s bankers consulted a broad set of investors in India and abroad\u2014large institutions, mutual funds, pension funds and retail participants\u2014before finalising the price band.<\/p>\n<p>Chauhan said feedback from these consultations included a request to preserve a portion of the issue for retail investors, influencing the final pricing decision.<\/p>\n<p>In terms of market position, NSE remains the dominant stock exchange in India. The IPO note states that the exchange captured 93.05\u202fpercent of cash\u2011market turnover and 68.48\u202fpercent of equity\u2011options premium turnover in the three months ending June\u202f2026.<\/p>\n<p>Weekly options, once the primary driver of earnings, now account for about 42\u202fpercent of total income\u2014down from roughly 60\u201170\u202fpercent three to four years ago. The remaining revenue comes from monthly index options, stock options, equities, equity futures, co\u2011location services, data, indices and other related businesses.<\/p>\n<h2>Business model and financial performance<\/h2>\n<p>NSE has broadened its product suite to include equities, currencies, commodities, interest\u2011rate instruments and electricity, reflecting an integrated model that spans exchange listings, trading, clearing and settlement, indices and market data.<\/p>\n<p>Chauhan attributed a dip in the exchange\u2019s EBITDA margin last year to a one\u2011time regulatory fine. Nevertheless, the normalized EBITDA margin has consistently hovered between 76\u202fpercent and 79\u202fpercent over the past five years.<\/p>\n<p>Financially, the exchange reported a 9\u202fpercent year\u2011on\u2011year increase in consolidated revenue from operations, reaching \u20b94,560\u202fcrore in the quarter ended June\u202f2026. Net profit rose to \u20b93,121\u202fcrore from \u20b92,811\u202fcrore a year earlier.<\/p>\n<p>On the investor side, NSE boasted 13.237\u202fcrore unique registered investors and 26.136\u202fcrore investor accounts as of 30\u202fJune, covering more than 99\u202fpercent of Indian postal codes. The platform hosts 3,005 listed entities with a combined market capitalisation of \u20b9474.08\u202ftrillion.<\/p>\n<p>Chauhan highlighted the exchange\u2019s ongoing effort to deepen its investor base beyond the traditional metropolitan hubs.
