The project marks the second venture linking the Chandrasekaran family business with TVS, whose former chairman Venu\u202fSrinivasan supported Chandrasekaran\u2019s re\u2011election for a third term at Tata\u202fSons.<\/p>\n<h2>Land allocation and financial details<\/h2>\n<p>In November\u202f2025, Hanno One approached the Karnataka Land Audit Committee seeking approval for a 35\u2011acre parcel in the state\u2011run Immavu industrial area, situated roughly 20\u202fkilometres south of Mysuru. The committee\u2019s minutes record the proposal as an \u201cIndustrial Park for Auto Component Manufacturing and Supply for TVS Motors and their Tier\u202f1 Suppliers.\u201d Subsequent records from the Karnataka Industrial Areas Development Board (KIADB) show that the agency allotted the land at an estimated value of about \u20b927\u202fcrore, of which it received a payment of \u20b97.91\u202fcrore during the 2026 fiscal year.<\/p>\n<p>The Immavu site lies approximately 10\u202fkilometres from TVS Motor\u2019s Mysuru factory at Kadakola, positioning the park close to existing TVS operations. Hanno\u2019s financial statements indicate that, eighteen months after its incorporation, the company is pursuing two projects near TVS plants\u2014one in Tamil\u202fNadu and the other in Karnataka\u2014with a combined projected outlay of \u20b9436\u202fcrore.<\/p>\n<h2>Previous dealings with TVS Motor<\/h2>\n<p>The Karnataka venture follows an earlier arrangement made in June\u202f2025, when TVS Motor leased about 17\u202facres of farmland in Uddanapalli, Krishnagiri district of Tamil\u202fNadu, to Hanno One. That lease was recorded in government documents and placed the firm within a short distance of TVS\u2019s Hosur manufacturing hub. In November of the same year, HDFC Bank extended a construction loan of \u20b960\u202fcrore to Hanno, using the lease rights and the forthcoming building as security. The loan term sheet, reviewed by Mint, labeled the undertaking the \u201cTVS Motors Warehouse Project\u201d and projected a construction cost of \u20b9106.3\u202fcrore for a 3.3\u2011lakh\u2011square\u2011foot facility slated for completion by March\u202f2027.<\/p>\n<p>Both projects are intended to support TVS Motor\u2019s supply chain, yet under Indian corporate law Hanno does not qualify as a related party to TVS because Chandrasekaran does not sit on TVS\u2019s board. Consequently, the transactions are excluded from TVS\u2019s related\u2011party disclosures, shifting the responsibility for transparency onto the boards of Tata\u202fSons and Tata\u202fTrusts.<\/p>\n<h2>Governance concerns and board silence<\/h2>\n<p>Neither N.\u202fChandrasekaran nor Venu\u202fSrinivasan informed the Tata\u202fSons board about the Karnataka deal, despite Tata\u202fSons previously stating that the transactions did not require board approval. Srinivasan, who serves as a Tata\u202fTrusts nominee on the Tata\u202fSons board and participates in the nomination and remuneration committee that reviews Chandrasekaran\u2019s performance and compensation, also failed to disclose the arrangement to either Tata\u202fSons or Tata\u202fTrusts, according to a prior statement from the philanthropic entities that own 65.9\u202fpercent of the group\u2019s holding company.<\/p>\n<p>The omission has drawn criticism from corporate\u2011governance specialists, who argue that the lack of disclosure could constitute a conflict of interest under the Tata Code of Conduct. The code defines a conflict as a situation where an employee, a family member, or a close associate might obtain an unfair advantage by influencing a deal, and it obliges executive directors to report any real or potential conflicts to the board.<\/p>\n<p>\u201cUltimately, the Tata board members are the arbiters who must decide whether these transactions breach the Code of Conduct,\u201d said Amit Tandon, founder and managing director of Institutional Investor Advisory Services, a proxy\u2011advisory firm. He added that the appropriate question is whether the Tata\u202fSons board is comfortable with the transactions, and who is best placed to assess the matter.<\/p>\n<p>Attempts to obtain comment from KIADB, TVS Motor and Hanno One have not yielded responses, and both Tata\u202fSons and Tata\u202fTrusts declined to comment on inquiries. Mint could not verify whether TVS Motor has formally agreed to use the Immavu park, and the exact date when KIADB transferred the land to Hanno remains unclear.<\/p>\n<p>The Karnataka Land Audit Committee minutes also noted that Pranav Chandrasekaran, the son and co\u2011owner of Hanno One, had a net worth of \u20b911.26\u202fcrore at the time\u2014approximately three percent of the proposed \u20b9330\u202fcrore project cost. At that stage, Hanno had not completed any construction, underscoring the early\u2011stage nature of the venture.<\/p>\n<p>While the two\u2011wheeler maker\u2019s involvement appears to be limited to lease agreements and loan arrangements, the broader issue revolves around the governance standards expected of a conglomerate such as Tata\u202fSons.
