The offering, valued at ₹30,200 crore, is being used primarily to reduce the conglomerate’s debt load. While the listing has generated considerable market buzz, investors are being urged to examine several underlying factors before committing capital.

IPO Overview and Purpose

Jio Platforms operates as a technology and connectivity group, with the bulk of its earnings derived from its subsidiary Reliance Jio Infocomm – the nation’s largest mobile‑network operator. The proceeds from the new share issue are earmarked for debt repayment, a strategy that aligns with the broader financial management objectives of its parent, Reliance Industries.

Revenue Recognition and Distribution Dependence

A distinctive feature of Jio’s business model is its reliance on a single distribution channel for prepaid mobile plans. When a customer recharges a Jio plan, the payment does not flow directly to Jio. Instead, Jio sells bulk recharge vouchers to Reliance Retail, a sister company within the Reliance group. Reliance Retail pays an advance amount, which Jio records as a liability rather than immediate revenue. In the fiscal year 2026, this advance stood at roughly ₹1.13 lakh crore.

Revenue is recognized gradually as Reliance Retail distributes the vouchers through its network of stores, distributors and online platforms, and as customers consume the recharges. This arrangement gives Reliance Retail exclusive rights to distribute prepaid plans, a segment that accounts for about 77 % of Jio’s total telecom revenue. The concentration of distribution in one entity presents two primary risks. First, any alteration or termination of the agreement would force Jio to establish an alternative distributor network across India, a task that could be operationally complex and time‑consuming. Second, the pricing of vouchers is set so that Reliance Retail’s margin aligns with what Jio describes as “industry practice.” A shift in those terms in favour of Reliance Retail could compress Jio’s earnings even if the broader group remains financially stable.

On the upside, the upfront payment from Reliance Retail improves Jio’s cash position, allowing the company to recognize revenue over time without waiting for end‑customer collections.

Cash Generation and Financial Metrics

For telecom operators, a useful indicator of financial health is EBITDA minus capital expenditure (capex). This figure reflects operating earnings after accounting for the heavy, ongoing investment required to build and upgrade network assets such as towers, fibre, radio equipment and spectrum licences.

Between fiscal years 2024 and 2026, Jio invested approximately ₹1.32 lakh crore in its network. Annual capex has been on a declining trajectory, falling from ₹53,510 crore in FY24 to ₹34,184 crore in FY26. The reduction in spending translated into a larger surplus of EBITDA over capex, which reached ₹42,071 crore in FY26. In the first quarter of FY27, this metric enabled Jio to surpass Airtel’s Indian business, posting ₹16,681 crore versus Airtel’s ₹14,102 crore.

Despite the strong growth in EBITDA‑minus‑capex—an increase of 111 % over the previous year—profit growth has been more modest, rising only 15 % in the same period. The disparity stems partly from the timing of interest expenses. While network construction is underway, interest on the associated loans can be capitalised into the asset base. Once the assets become operational, that interest shifts to the income statement as a financing cost. Consequently, finance costs surged 76 % to ₹8,653 crore in FY26, and depreciation rose 13 % as newer equipment began to be written off.

It is also important to note that EBITDA‑minus‑capex does not equate to free cash flow. Future tax liabilities, upcoming spectrum purchases and planned artificial‑intelligence investments announced by Reliance could all erode the surplus.

Valuation Compared with Competitors

At a price‑to‑earnings (P/E) multiple of roughly 34‑times, Jio’s valuation is lower than Airtel’s 41‑times multiple. However, for capital‑intensive telecom firms, the enterprise‑value‑to‑EBITDA (EV/EBITDA) ratio often provides a clearer picture because it neutralises the impact of debt and depreciation. Based on earnings projected for FY28, Jio trades at about 12‑times EV/EBITDA, slightly above Airtel’s 10‑times multiple.

While the EV/EBITDA figure suggests a relatively attractive valuation, Airtel enjoys higher EBITDA margins—approximately 57 % compared with Jio’s 50 %—and a faster pace of profit growth. These differences imply that Jio’s market price may be reflecting expectations of future expansion rather than current operational superiority.

Investors weighing participation in the IPO should therefore balance the upside of a strong cash‑generation profile and a potentially favourable valuation against the concentration risk in distribution, the rising finance costs and the competitive landscape that favours a rival with higher margins and profit acceleration.

Whether the market’s optimism about Jio’s growth trajectory translates into long‑term shareholder value remains an open question, one that will be decided as the company navigates its distribution arrangements, manages its debt burden and executes its network‑investment strategy.

The Jio Platforms IPO opens on Oct. 21, 2026, raising ₹30,200 crore.
