The Governance, Nomination and Remuneration Committee (GNRC) and the board accepted the request, and the filing indicated that the matter will be forwarded to the RBI for final approval. No reason for the departure was provided in the filing.

Bharucha’s tenure with HDFC Bank spans more than three decades. The GNRC and board statements highlighted his role in driving the bank’s growth, strengthening institutional frameworks, and enhancing business resilience. They also emphasized his contribution to the development of the lender’s credit architecture, describing him as one of the principal architects who helped conceptualise, establish and build a framework now regarded as a defining institutional strength for the bank.

The GNRC reviewed the request on 16 October, and the board gave its approval the following day, 17 October. The bank indicated that the exit will be subject to regulatory clearance from the RBI, but no further details were released.

Lily Vadera’s Reappointment

Separately, the board approved the reappointment of Lily Vadera as an independent director for a term of three years, covering the period from 26 November 2026 to 25 November 2029, inclusive. The reappointment will be placed before shareholders for approval, which the bank said will be sought shortly. The bank also confirmed that Vadera has no familial ties to any other director or key managerial personnel and that she is not barred from holding a directorship by any order of the Securities and Exchange Board of India or any other authority.

Vadera brings more than 34 years of experience in central banking. She retired from the RBI in October 2020 after serving as an executive director in charge of the Department of Regulation, the unit responsible for overseeing the regulatory framework governing banks and non‑banking financial companies.

Regulatory and International Experience

During her RBI tenure, Vadera represented the central bank at several international platforms, including the Policy Development Group of the Basel Committee on Banking Supervision, the Financial Stability Board, and G20 sub‑groups focused on small‑ and medium‑enterprise financing and green financing. She also served on a government committee dedicated to SME financing.

Her work at the RBI included helping to establish a regulatory sandbox aimed at fostering fintech innovation in financial services, contributing to the amalgamation of stressed banks, and serving on the Insolvency Law Committee constituted by the Ministry of Corporate Affairs.

The twin decisions signal a leadership transition at HDFC Bank while preserving continuity in its board‑level governance. Bharucha’s proposed exit awaits RBI approval, and Vadera’s reappointment remains contingent on shareholder consent. Both moves underscore the bank’s focus on maintaining seasoned expertise within its senior management and board structures.

HDFC Bank’s board approved deputy managing director Kaizad Bharucha’s departure effective Dec 31 2026 and reappointed former RBI executive Lily Vadera as an independent director for a three‑year term.

[299
3105,1631,1636,3103,3104
post-2803","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-news","tag-board-appointments","tag-hdfc-bank","tag-indian-banking","tag-kaizad-bharucha","tag-lily-vadera","entry
["GET
