NSE IPO closes with 3% grey market premium, 1.16x subscription

On the final day of the National Stock Exchange of India (NSE) initial public offering, the grey market premium (GMP) hovered around 3%, translating to roughly Rs 48 above the upper end of the Rs 1,785 price band. The issue, which closed for subscription on September 21, recorded an overall subscription level of 1.16 times the 8.86 crore shares on offer.

Subscription snapshot across investor categories

By the end of the second day, the IPO had attracted bids amounting to 1.16 times the total shares available. The retail segment, allocated 4.41 crore shares for individual investors, was subscribed at 72% of its quota. Non‑institutional investors (NIIs) applied for 1.68 times the 1.89 crore shares reserved for them, while qualified institutional buyers (QIBs) placed bids for 1.53 times the 2.52 crore shares allotted to that category.

Grey market premium and expected listing price

According to an Economic Times report, the GMP of around Rs 48 suggests an estimated listing price of roughly Rs 1,833 per share, indicating a modest premium over the issue’s price band. This premium reflects market participants’ expectation of a moderate gain when NSE shares commence trading on the Bombay Stock Exchange on September 24.

Offer structure and financial details

The NSE IPO is a pure offer‑for‑sale (OFS) transaction, comprising 12.64 crore shares sold by existing shareholders. Consequently, the exchange itself will not receive any proceeds; the funds will flow directly to the selling shareholders. The total value of the issue is Rs 22,569 crore. The price band is set between Rs 1,700 and Rs 1,785 per share, with each lot consisting of eight shares. For a retail investor applying at the top of the band, the minimum application amount is Rs 14,280. At the same price, NSE’s post‑issue market capitalisation is estimated at about Rs 4,41,788 crore.

NSE’s market position and operational profile

India’s largest stock exchange, NSE operates a vertically integrated platform that spans trading, clearing, listing, data services and index licensing. Its product suite includes cash market trading, futures and options, mutual funds, commodity and currency derivatives, wholesale debt market activities and interest‑rate futures. The exchange has maintained its lead in cash market turnover and equity derivatives turnover from fiscal year 2001 through fiscal year 2026.

As of June 2026, NSE reported 132.4 million unique registered investors, 1,328 trading members and 3,005 listed entities. The combined market capitalisation of companies listed on the exchange stood at approximately Rs 474.1 trillion. NSE’s dominance is evident in its market‑share metrics: about 93% of cash‑market activity, 99.7% of equity‑futures turnover and 68.5% of equity‑options turnover by premium were attributed to the exchange.

Revenue composition and risk considerations

Transaction charges remain the primary driver of NSE’s earnings, accounting for 78.7% of FY 2026 revenue. Within the operations segment, options trading contributed 60.2% of revenue. This concentration makes the exchange vulnerable to regulatory changes that could affect derivatives trading. YES Securities highlighted a decline in NSE’s share of the equity‑options market by premium turnover, falling from 96.86% in FY 2024 to 74.71% in FY 2026, and further to 68.48% in the June 2026 quarter.

Brokerages have generally expressed a positive outlook on the IPO, noting NSE’s extensive ecosystem and its entrenched position in India’s capital‑market infrastructure. However, analysts caution that any shift in regulatory policy impacting derivatives could influence the exchange’s revenue trajectory.

Key dates and next steps

The subscription window closed on September 21, with the allotment of shares slated for September 22, 2026. NSE shares are expected to debut on the Bombay Stock Exchange on September 24, 2026, marking the culmination of one of the country’s most closely watched public offerings.
